About this interactive
Three documents, in order of how far two organizations have committed.
A memorandum of understanding (MOU) puts shared expectations and intentions in writing when the parties are not ready for a binding contract: the details are still being negotiated, but a handshake alone is too little. It is generally not legally binding. The lesson's example is the sale of a business, where months of checks come before the final contract.
A memorandum of agreement (MOA) sits between the two. The parties commit to specific terms, usually to get one project started, without a full partnership contract. The lesson calls it legally binding but less legalistic than a BPA; whether a given MOA can be enforced depends on how it is written, but it always commits each side to more than an MOU does.
A business partners agreement (BPA) is the full, legally binding contract for a partnership: how profits, costs and decisions are split, each side's roles and financial obligations, and how disputes are settled. The lesson's example is a company partnering with a reseller to sell its product in another country.
To choose, ask how far the parties have committed: intentions only, agreed terms to start a project, or a complete partnership.
